1. Agreement to Terms
These Terms of Service ("Terms") form a binding legal agreement between AgentDepot ("we," "us," "our") and the individual or entity accessing or using the AgentDepot platform ("you," "Customer"). By creating an account, clicking "I agree," starting a free trial, or using any part of the Services, you accept these Terms. If you use AgentDepot on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
2. Eligibility and Account Registration
You must be at least 18 years old and legally capable of entering into contracts to use AgentDepot. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@agentdepot.cloud if you suspect any unauthorized access to your account.
3. Description of Services
AgentDepot is an AI agent skill marketplace and managed deployment platform. The Services include: (a) a curated catalog of AI agent skills sourced and scored from public GitHub repositories; (b) a no-code configuration interface for selecting, customizing, and connecting agent skills to your tools; (c) sandbox testing environments; (d) managed deployment of agent skills to Secure cloud, managed for you on AgentDepot's secure AWS infrastructure; (e) an AI voice receptionist service that answers inbound calls, captures leads, books appointments, and answers caller questions using AgentDepot's hosted AI infrastructure; (f) the Concierge Setup service described in Section 7; and (g) associated documentation, dashboards, and support. We may update, modify, or discontinue features at any time. Material reductions to paid functionality will be communicated with 30 days' advance notice.
4. Subscription Plans, Speed Limits, and Billing
AgentDepot offers subscription plans billed monthly in advance via Stripe and auto-renewed until cancelled. Annual plans are billed at a 2-months-free discount. Pricing adjustments will be communicated with 30 days' notice, effective at your next billing cycle. All fees are exclusive of applicable taxes. Payment failures trigger a 7-day grace period; unresolved failures may result in account suspension. Accounts are reactivated immediately upon successful payment.
5. Free Trial and Money-Back Guarantee
Eligible accounts receive a 14-day free trial. At the end of the trial period, your account will require a paid subscription to continue using the Services. We reserve the right to modify or discontinue the free trial at any time. Paid accounts carry a 30-day money-back guarantee on your first paid billing period — contact hello@agentdepot.cloud within 30 days for a full refund.
6. Cancellation and Refunds
You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of your current billing period; you retain access through that date. We offer a 30-day money-back guarantee on your first paid subscription period — contact support@agentdepot.cloud to request a full refund within that window. After 30 days, no refunds are issued for partial billing periods except where required by applicable law. Upon cancellation, your agent skills will be deactivated. Your configuration data is retained for 90 days, after which it is permanently deleted.
7. Concierge Setup Service
AgentDepot offers a complimentary Concierge Setup service (free 15-minute call) in which our team assists you in selecting, configuring, connecting integrations, and deploying your first agent skill. Concierge Setup does not transfer any ownership rights to AgentDepot-proprietary platform components.
8. GitHub-Sourced Skills and Licensing
Agent skills in the AgentDepot catalog are sourced from public GitHub repositories and are subject to their respective open-source licenses (including but not limited to MIT, Apache 2.0, and BSD licenses). Our catalog scoring and curation methodology is proprietary to AgentDepot. By deploying a skill, you agree to comply with the upstream open-source license terms for that skill. AgentDepot does not claim ownership of the underlying open-source skill code. License details are displayed on each skill's detail page.
9. Recording, TCPA, and Telecommunications Compliance
9.1 Customer Responsibility. Customer is solely responsible for ensuring that all telephone calls handled by the AI voice receptionist Service comply with the Telephone Consumer Protection Act (47 U.S.C. § 227) ("TCPA"), any applicable state wiretapping or call recording statutes, and all other applicable telecommunications laws. AgentDepot does not provide legal advice regarding TCPA compliance. 9.2 Consent Attestation. By enabling the AI voice receptionist and checking the required consent box at onboarding, Customer warrants that it has obtained all legally required consents from callers to record telephone conversations in all states where it receives calls, and that it will maintain ongoing compliance with applicable recording and disclosure laws. 9.3 Disclosure Requirement. Customer agrees to maintain a legally sufficient disclosure to callers that their call may be recorded and/or handled by an AI system. AgentDepot's default AI disclosure language satisfies requirements in most jurisdictions, but Customer bears sole responsibility for verifying sufficiency in Customer's specific operating jurisdiction. 9.4 State Recording Laws. At least twelve U.S. states require all-party consent for call recording, including California, Connecticut, Florida, Illinois, Maryland, Massachusetts, Michigan, Montana, Nevada, New Hampshire, Oregon, and Washington. Customer warrants that it has reviewed applicable laws in all states where it receives calls. 9.5 Audit Log. AgentDepot maintains a per-call audit log confirming delivery of AI disclosure language. Customer may access this log through the portal.
10. Artificial Intelligence Disclosure
10.1 Required Disclosure. Customer acknowledges that callers to the AI voice receptionist will interact with an AI-powered voice assistant, not a human employee. Customer agrees to keep the built-in AI disclosure enabled at all times. Disabling or circumventing the AI disclosure is a material breach of this Agreement. 10.2 No Impersonation. AgentDepot's default system prompt requires the AI to identify itself as an AI assistant if directly asked by a caller. Customer may not modify system prompts to instruct the AI to represent itself as a human. 10.3 FTC Compliance. Federal Trade Commission regulations on deceptive trade practices and AI disclosure guidance apply to Customer's use of the Service. Customer is solely responsible for compliance with applicable FTC, FCC, and state regulations governing AI-powered communications.
11. No Earnings Guarantee
AGENTDEPOT MAKES NO REPRESENTATIONS OR WARRANTIES THAT USE OF THE SERVICES WILL RESULT IN ANY PARTICULAR REVENUE, BOOKING RATE, LEAD GENERATION, CALL ANSWER RATE, OR OTHER BUSINESS OUTCOME. Any case studies, testimonials, or statistics provided by AgentDepot represent results achieved by specific customers under specific conditions and are not guarantees of similar outcomes for any other customer. Individual results will vary based on industry, call volume, pricing, business practices, market conditions, and factors outside AgentDepot's control. Nothing in AgentDepot's marketing, onboarding, or sales materials constitutes a representation of typical or expected results.
12. AWS Deployment and Data Residency
Agent skills are deployed to Secure cloud, managed for you on AgentDepot's secure, managed AWS infrastructure in isolated per-customer environments. All agent execution data, integration payloads, inputs, outputs, and logs are processed within your isolated environment and are never shared with other customers or third parties. AgentDepot manages the infrastructure on your behalf; you do not need to provide or authorize AWS credentials. AgentDepot uses Customer data solely for the purpose of providing the Services, quality assurance, and service improvement — we do not sell Customer data or caller personal information to third parties, and we do not use Customer data to train AI foundation models.
13. Acceptable Use
You may not use AgentDepot to: (a) violate any applicable laws or third-party rights; (b) send unsolicited bulk communications (spam) via agent-powered outreach tools; (c) interfere with, disrupt, or overload the platform or its infrastructure; (d) reverse-engineer or extract AgentDepot's proprietary scoring, catalog curation logic, or matching algorithms; (e) deploy agents designed to deceive, manipulate, or harm end users; (f) use the platform in any US export-controlled jurisdiction or on behalf of any sanctioned entity; (g) build competing products by extracting catalog data at scale; (h) disable or circumvent any AI disclosure or recording consent functionality. Violations may result in immediate suspension or termination without refund.
14. Customer Content
"Customer Content" means all data, configurations, and integration credentials you provide or that flow through your agent skills. You retain all rights, title, and interest in your Customer Content. You grant AgentDepot a limited, non-exclusive, worldwide, royalty-free license to process your Customer Content solely to provide the Services. You represent that you have the necessary rights to provide this content and that it does not violate any applicable law or third-party rights. Customer Content entered into the AI voice receptionist training knowledge base, including business hours, pricing, and FAQ responses, must be accurate and kept current; AgentDepot is not responsible for AI responses derived from outdated or inaccurate Customer-provided information.
15. Third-Party Integrations
Many agent skills connect to third-party platforms (e.g., Slack, HubSpot, Google Workspace, QuickBooks, Shopify, Twilio, ElevenLabs). You must maintain active accounts with those providers, comply with their terms of service, and authorize agent access via OAuth or API keys. AgentDepot is not responsible for the availability, accuracy, security, or performance of third-party services. Outages or changes at third-party providers may make dependent skills temporarily unavailable.
16. AI Outputs, Accuracy, and Customer Responsibility
16.1 No Accuracy Warranty. The AI voice receptionist and all other AI agent services are probabilistic language models. AgentDepot does not warrant that the AI will provide accurate, complete, or up-to-date information on any topic, including Customer's own business information. AI outputs may be inaccurate, incomplete, or unsuitable for specific purposes. 16.2 High-Stakes Decisions. Customer agrees not to rely on AI outputs for decisions involving legal, medical, financial, or safety-critical matters where accuracy is material. Customer shall not configure the Service to provide legally binding quotes, medical diagnoses, or safety assessments. 16.3 Customer-Facing Communications. For customer-facing communications generated by agent skills, you are responsible for configuring appropriate review or approval gates. You must comply with all applicable laws governing automated communications, including TCPA, CAN-SPAM, CASL, and GDPR. 16.4 Knowledge Base Currency. The AI's knowledge of Customer's business is limited to information entered in the Customer's training knowledge base. AgentDepot is not responsible for AI responses derived from outdated information that Customer has not kept current.
17. Intellectual Property
AgentDepot retains all ownership of the platform, catalog scoring methodology, configuration interface, AgentDepot brand, and all associated intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not reproduce, resell, or sublicense the Services or platform without our written consent. Feedback or suggestions you provide may be used by AgentDepot without obligation or compensation.
18. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AGENTDEPOT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT AI AGENT OR AI VOICE RECEPTIONIST OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR USE CASE, OR THAT THE SERVICES WILL MEET YOUR SPECIFIC BUSINESS REQUIREMENTS. Skill quality scores and AI performance estimates are provided for informational guidance only and do not constitute guarantees of performance.
19. Limitation of Liability
19.1 Aggregate Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTDEPOT'S AGGREGATE LIABILITY TO CUSTOMER FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 19.2 TCPA Carve-Out. THE AGGREGATE LIABILITY CAP IN SECTION 19.1 DOES NOT APPLY TO, AND SHALL NOT LIMIT CUSTOMER'S OBLIGATIONS ARISING FROM, CUSTOMER'S OWN TCPA VIOLATIONS, RECORDING LAW VIOLATIONS, OR MISUSE OF THE SERVICE IN VIOLATION OF SECTION 9 OR 10. CUSTOMER'S INDEMNIFICATION OBLIGATIONS UNDER SECTION 20 ARE NOT SUBJECT TO THIS CAP. 19.3 Exclusion of Consequential Damages. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. These limits apply regardless of the theory of liability.
20. Indemnification
20.1 Customer Indemnification of AgentDepot. You agree to defend, indemnify, and hold AgentDepot harmless from and against any third-party claims, damages, losses, penalties, fines, and expenses (including reasonable attorneys' fees) arising from: (a) your Customer Content; (b) your violation of these Terms; (c) your violation of applicable law, including TCPA, state wiretapping or call recording laws, FTC regulations, CAN-SPAM, or CASL; (d) your failure to obtain required consents from callers; (e) your disabling or circumventing AI disclosure or recording consent features; (f) your violation of third-party rights; or (g) any claim by a third party arising from the content of information entered by Customer in the training knowledge base. 20.2 AgentDepot Indemnification of Customer. AgentDepot shall indemnify Customer against third-party intellectual property infringement claims arising solely from AgentDepot's underlying platform technology (excluding Customer-provided content or Customer-modified configurations).
21. Suspension and Termination
21.1 Termination by Customer. You may cancel via your billing dashboard at any time. Cancellation takes effect at the end of your current billing period. 21.2 Suspension or Termination by AgentDepot. We may immediately suspend or terminate your account, without notice or cure period, if: (a) your account has generated TCPA complaints, regulatory inquiries, or carrier complaints; (b) your use of the Service violates any applicable law; (c) your account poses legal or regulatory risk to AgentDepot or other customers; (d) you have disabled mandatory AI disclosure in violation of Section 10; (e) you commit a material violation of the Acceptable Use policy in Section 13; or (f) payment failures remain unresolved after a 7-day grace period. 21.3 No Cure Period for Regulatory Risk. Violations of Sections 9, 10, or 20 may result in immediate suspension without providing a cure opportunity where AgentDepot determines immediate action is required to prevent regulatory harm. 21.4 Effect of Termination. Upon termination, your right to access the Services ends immediately. Provisions that by their nature should survive termination (including Sections 11, 17, 18, 19, 20, and 22) will survive.
22. Disputes and Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Individual disputes will be resolved through binding arbitration administered by the American Arbitration Association. Business entity customers agree to exclusive jurisdiction in Delaware state or federal courts. Both parties waive the right to participate in class action or representative proceedings.
23. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email and a notice on the platform at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your subscription before the effective date.
24. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and AgentDepot. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our written consent. AgentDepot may assign in connection with a merger, acquisition, or sale of assets. Questions? Email support@agentdepot.cloud.
