Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") form a binding legal agreement between AgentDepot ("we," "us," "our") and the individual or entity accessing or using the AgentDepot platform ("you," "Customer"). By creating an account, clicking "I agree," starting a free trial, or using any part of the Services, you accept these Terms. If you use AgentDepot on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into contracts to use AgentDepot. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@agentdepot.cloud if you suspect any unauthorized access to your account.

3. Description of Services

AgentDepot is an AI agent skill marketplace and deployment platform. The Services include: (a) a curated catalog of AI agent skills sourced and scored from public GitHub repositories; (b) a no-code configuration interface for selecting, customizing, and connecting agent skills to your tools; (c) sandbox testing environments; (d) managed deployment of agent skills to AWS Bedrock AgentCore within your own AWS account; (e) the Expert Setup service described in Section 7; and (f) associated documentation, dashboards, and support. We may update, modify, or discontinue features at any time. Material reductions to paid functionality will be communicated with 30 days' advance notice.

4. Subscription Plans, Run Quotas, and Billing

AgentDepot offers three subscription tiers: Starter (5,000 agent runs/month), Team (50,000 agent runs/month), and Warehouse (250,000 agent runs/month with 99.9% uptime SLA). A "run" is a single end-to-end execution of an agent skill. Plans are billed monthly in advance via Stripe and auto-renew until cancelled. Exceeding your included run quota incurs overage charges of $0.01 per additional run, billed on your next invoice. Pricing adjustments will be communicated with 30 days' notice, effective at your next billing cycle. All fees are exclusive of applicable taxes. Payment failures trigger a 7-day grace period; unresolved failures may result in account suspension. Accounts are reactivated immediately upon successful payment.

5. Free Trial

New accounts receive a 14-day free trial with Starter-tier run limits. No credit card is required to start the trial. At the end of the trial period, your account will require a paid subscription to continue using the Services. We reserve the right to modify or discontinue the free trial offer at any time.

6. Cancellation and Refunds

You may cancel your subscription at any time from your billing dashboard. Cancellation takes effect at the end of your current billing period; you retain access through that date. We offer a 30-day money-back guarantee on your first paid subscription period — contact support@agentdepot.cloud to request a full refund within that window. After 30 days, no refunds are issued for partial billing periods except where required by applicable law. Upon cancellation, your agent skills will be deactivated. Your configuration data is retained for 90 days, after which it is permanently deleted.

7. Expert Setup Service

AgentDepot offers an Expert Setup service ($499 one-time fee) in which our team assists you in selecting, configuring, connecting integrations, and deploying your first agent skill to your AWS account. Expert Setup includes a discovery call, integration configuration, sandbox testing, live deployment, and a 14-day follow-up check-in. The Expert Setup fee is non-refundable once the discovery call has been completed. AgentDepot acts as a service provider during setup; all agent runtime data continues to reside in your own AWS account. Expert Setup does not transfer any ownership rights to AgentDepot-proprietary platform components.

8. GitHub-Sourced Skills and Licensing

Agent skills in the AgentDepot catalog are sourced from public GitHub repositories and are subject to their respective open-source licenses (including but not limited to MIT, Apache 2.0, and BSD licenses). Our catalog scoring and curation methodology is proprietary to AgentDepot. By deploying a skill, you agree to comply with the upstream open-source license terms for that skill. AgentDepot does not claim ownership of the underlying open-source skill code. License details are displayed on each skill's detail page.

9. AWS Deployment and Data Residency

Agent skills are deployed to AWS Bedrock AgentCore within your own AWS account using credentials you provide or authorize. All agent execution data, integration payloads, inputs, outputs, and logs are processed and stored in your AWS account — not on AgentDepot infrastructure. You are responsible for your AWS account's security, costs, and compliance. AgentDepot does not have ongoing access to your agent runtime data unless you explicitly share logs with us for support or debugging purposes.

10. Acceptable Use

You may not use AgentDepot to: (a) violate any applicable laws or third-party rights; (b) send unsolicited bulk communications (spam) via agent-powered outreach tools; (c) interfere with, disrupt, or overload the platform or its infrastructure; (d) reverse-engineer or extract AgentDepot's proprietary scoring, catalog curation logic, or matching algorithms; (e) deploy agents designed to deceive, manipulate, or harm end users; (f) use the platform in any US export-controlled jurisdiction or on behalf of any sanctioned entity; (g) build competing products by extracting catalog data at scale. Violations may result in immediate suspension or termination without refund.

11. Customer Content

"Customer Content" means all data, configurations, and integration credentials you provide or that flow through your agent skills. You retain all rights, title, and interest in your Customer Content. You grant AgentDepot a limited, non-exclusive, worldwide, royalty-free license to process your Customer Content solely to provide the Services. You represent that you have the necessary rights to provide this content and that it does not violate any applicable law or third-party rights.

12. Third-Party Integrations

Many agent skills connect to third-party platforms (e.g., Slack, HubSpot, Google Workspace, QuickBooks, Shopify, Twilio). You must maintain active accounts with those providers, comply with their terms of service, and authorize agent access via OAuth or API keys. AgentDepot is not responsible for the availability, accuracy, security, or performance of third-party services. Outages or changes at third-party providers may make dependent skills temporarily unavailable.

13. AI Outputs and Customer Responsibility

AI agent outputs may be inaccurate, incomplete, or unsuitable for specific purposes. For customer-facing communications generated by agent skills (emails, SMS, social posts, responses), you are responsible for configuring appropriate review or approval gates before delivery. You must comply with all applicable laws governing automated communications, including the TCPA, CAN-SPAM, CASL, and GDPR. Agent outputs do not constitute legal, financial, medical, or other professional advice.

14. Intellectual Property

AgentDepot retains all ownership of the platform, catalog scoring methodology, configuration interface, AgentDepot brand, and all associated intellectual property. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. You may not reproduce, resell, or sublicense the Services or platform without our written consent. Feedback or suggestions you provide may be used by AgentDepot without obligation or compensation.

15. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. AgentDepot does not warrant that the Services will be uninterrupted, error-free, or that AI agent outputs will be accurate or suitable for your use case. Skill quality scores are provided for informational guidance only.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AGENTDEPOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD. These limits apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

17. Indemnification

You agree to defend, indemnify, and hold AgentDepot harmless from and against any third-party claims, damages, and costs (including reasonable attorneys' fees) arising from: (a) your Customer Content; (b) your violation of these Terms; (c) your violation of applicable law; (d) your violation of third-party rights; or (e) your use of agent-powered communications in violation of TCPA, CAN-SPAM, or similar regulations.

18. Termination

Either party may terminate at any time. You may cancel via your billing dashboard. We may immediately suspend or terminate your account for material violations of these Terms, Acceptable Use violations, payment failures unresolved after 7-day notice, or activity that poses risk to other customers or third parties. Upon termination, your right to access the Services ends. Provisions that by their nature should survive termination (including IP, indemnification, disclaimers, and liability limitations) will survive.

19. Disputes and Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Individual disputes will be resolved through binding arbitration administered by the American Arbitration Association. Business entity customers agree to exclusive jurisdiction in Delaware state or federal courts. Both parties waive the right to participate in class action or representative proceedings.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and a notice on the platform at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your subscription before the effective date.

21. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and AgentDepot. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our written consent. AgentDepot may assign in connection with a merger, acquisition, or sale of assets. Questions? Email support@agentdepot.cloud.
